BYLAWS
To the Constitution
For the Guild of the College of Biblical Studies


Article I
Duties of Officers

Section 1: The President shall perform the duties inherent to the office of presiding officer. The President shall appoint the Chairman of each of the Standing Committees. The President, with the approval of the Board, shall appoint additional committees as needed. She shall serve as ex-officio member of these committees.

Section 2: The First Vice President-Special Projects shall also serve as President-Elect. She shall assist the President and shall preside in the absence of the President. In the event the President cannot fulfill her term, the President-Elect shall assume the Office of President. In the event that the President-Elect has become President prior to the election by reason of a vacancy in the Office of President, she shall automatically succeed as President.

Section 3. The Second Vice President-Membership shall be in charge of recruiting Members, updating the Membership records and other projects related to Membership.

Section 4: The Third Vice President-Public Relations shall be responsible for communications (including email and website) to Guild members and shall be the media contact person.

Section 5. The Secretary shall keep in permanent form the minutes of all meetings of the Board. She shall attend to all of the necessary correspondence.

Section 6: The Treasurer shall keep an accurate account of all receipts and disbursements. She shall present a financial report at each Guild Board meeting. She shall provide financial reports to the Chief Financial Officer of CBS as requested by the College.

Section 7: The Prayer Fellowship Coordinator shall plan and implement monthly Prayer Fellowship meetings from September – May. She shall also plan and implement the Lunch n’ Learn event.

Section 8. The Chaplain shall be responsible for the prayers during the meetings, special events and functions as indicated by the President and Board.

Section 9. The immediate Past President shall continue as a member of the Board and be available for special projects as needed.

Section 10. All of the Officers will be required to sign an acknowledgment that they have read and understand the doctrinal distinctives of CBS.

Article II
Board

The officers listed above, the immediate Past President, the Chairmen of the Standing Committees, and the CBS Liaison will form The Guild Board which will have at least 2 meetings a year. Additional Board Meetings will occur at the call of the President.

Article III
Committees

Committees shall be appointed as determined by the Board.

Section 1: The President shall appoint the Chairmen of the Standing Committees and additional committees as needed with the approval of the Board.

The Standing Committees are as follows:

Section 2: The Fall Coffee Committee Chairman shall plan and coordinate the annual membership coffee for The Guild.

Section 3: The Christmas Tea Committee Chairman shall plan and coordinate the annual Christmas Tea.

Section 4: The Mary Martha Luncheon Chairman shall plan and coordinate the fundraising event luncheon for The Guild.

Article IV
Election of Officers

Section 1: There shall be a Nominating Committee consisting of 3 members. The Nominating Committee shall consist of the President, the First Vice President/President Elect and one other Guild Board member as appointed by the President.

Section 2: The Nominating Committee shall prepare and submit a slate of candidates to The Guild Board by April for approval by a majority of votes. This vote may be done via email.

Article V
Amendments

Bylaws may be amended at any regular or called meeting by a simple majority vote of The Guild Board. This vote may be done via email.

Article VI
Quorum

A simple majority constitutes a quorum. As needed, motions and voting may be done via email.

Article VII
Financial

At the end of the fiscal year (June 30), the Guild shall reserve $5000. The funds in excess of $5000 shall be remitted to College of Biblical Studies.

Article VIII
Rules of Conduct

Social Conduct – Alcoholic Beverages. No alcoholic beverages shall be served at any of the Guild of the College of Biblical Studies sponsored functions.
